Article 1 Name

The name of the organization will be the Milton High School Girls Booster Club, a non-profit that is a sub member of the Milton Athletic Association under the laws of the State of Georgia, designated in these bylaws as the Association.

Article 2 Purpose

To promote the advancement of the athletic program by providing support to the Principal, Athletic Director and coaches in the development of interscholastic athletic programs.

Article 3 Policies

Section 1. The Association will not seek to direct or control the administrative policies of the school or interfere with the coaching staff.

Section 2. The Association may cooperate with other organizations and agencies, provided it make no commitments which bind its membership unless such commitments are approved by the membership.

Section 3. The association will abide by all Fulton County Board of Education policies and procedures which will take precedence over these bylaws, should conflicts develop. Fulton County Board of Education policies governing booster clubs will be attached to these bylaws as an integral part of them.

Article 4 Organizational Structure

Section 1. The Association will be the governing body for all Girls Lacrosse booster activity at the school.

Section 2. The Association will be managed by a Board of Directors. Individual sports clubs (see Section 3) will report to the Association.

Section 3. Sport Clubs may be formed to further the support for specific sports.

A Sports Club will be a subsidiary of the Association.

A Sports Club will:

have written guidelines which will be approved by the Association and be filed with the Association and

The Sport Club will be Milton High School Girls Lacrosse.

A Sport Club will actively solicit memberships from every family of athletes participating in the named sport(s). Membership dues will be assessed at the Association level on an annual basis. The Sports Club(s) designated by the member will participate in the sharing of the membership dues based on the sharing structure established annually by the Association. The Sports Clubs portion of all dues collected will be credited to the Sport Club monthly.

A Sports Club will coordinate all its activities through the Association.

A Sports Club will, at a minimum, have a President, a Secretary and a Treasurer. An individual may serve in more than one capacity.

The President will preside at all meetings, be ex-officio of all committees of the Sport Club, except the nominating committee and will be a member of the executive committee of the Association.

The Secretary will keep the written minutes of all meetings of the Sport Club, sending a copy of each to the secretary of the Association within ten school days, will perform such other duties of the Sport Club as may be assigned, and will perform the duties of the President in the absence of that officer.

The Treasurer will keep account of the Sports Club cash receipts, make deposits and forward such to the Associations treasurer. They will be responsible for preparing and maintaining the clubs budget and authorizing purchase requisitions based on the approved budget. They will receive financial reports from the Association Treasurer and report such information back to the Sport Club board, committees and members, as necessary.

Article 5 Membership and Dues

Section 1. Anyone interested in the athletic program and willing to uphold the policies and bylaws of the Association may become a member upon payment of dues. The Association will accept membership regardless of race, creed, color, sex or national origin.

Section 2. The annual dues of the Association for the next succeeding fiscal year will be set at the Association=s Annual meeting.

Section 3. Membership will include each high school student and parent/guardian living in the same household.

Section 4. One vote is granted to each membership family.

Section 5. Membership in the Association also confers membership in the Sports Club(s) designated by the member family and/or in which a student athlete participates.

Section 6. Funds specifically earmarked for a Sport Club will be allocated to that sport.

Article 6 Board of Directors

Section 1. The business and affairs of the Association will be managed by the Board of Directors. In addition to the powers and authority expressly conferred upon it by these bylaws, the Board of Directors may exercise all such powers of the Association and do all such lawful acts and things as are not prohibited, by law, by any legal agreement among the members, the Articles of Incorporation or by these bylaws directed or required to be exercised or done by the members or such other authority.

Section 2. Unless Georgia law permits a lessor number, the number of directors of the Association will not be less than three (3), the precise number to be fixed by resolution of the members from time to time. Except as provided in Section 4, the directors will be elected by the affirmative vote of a majority of the members represented at the annual meeting. Each director, except in the case of death, resignation, retirement, disqualification or removal, will serve until the next succeeding annual meeting or until his successor has been elected and qualified.

Section 3. All members of the Board of Directors will be members of the Association.

Section 4. Any director may be removed from office with or without cause by the affirmative vote of the members entitled to vote at an election of directors. Removal action may be taken at any members= meeting with respect to which notice of such purpose have been given and a majority of the directors remaining in office though less than a quorum of the Board of Directors.

Section 5. A vacancy occurring in the Board of Directors, except by reason of removal of a director, may be filled for the unexpired term and until the members will have elected a successor, by affirmative vote of a majority of the directors remaining in office though less than a quorum of the Board of Directors.

Section 6. A regular meeting of the Board of Directors will be held immediately after each annual meeting of the members or any meeting held in lieu thereof. In addition, the Board of Directors may schedule other meetings to occur at regular intervals throughout the year.

Section 7. Special meetings of the Board of Directors may be called by or at the request of the President, or in his absence by the Secretary of the Association, or by any two directors in office at that time.

Section 8. No notice will be required for any regularly scheduled meeting of the Board of Directors. Unless waived, the President or Secretary of the Association or any director thereof will give notice to each director of each special meeting stating the time and place of the meeting. Such notice will be given by mailing a notice of the meeting at least two (2) days before the meeting or by telephone, e-mail or such other personal delivery at least twenty-four (24) hours before the date of the meeting. Notice will be deemed to have been given by e-mail at the time the notice is filed with the transmitting agency. Attendance by a director at a meeting will constitute waiver of notice of such meeting, except where the director states, at the beginning of the meeting, his objection(s) to the transaction of business at the meeting.

Section 9. The Chair and Vice Chair of the Board of Directors will be elected by a majority of the Board of Directors for a term of office to be determined by the Board of Directors.

Section 10. At meetings of the Board of Directors, the presence of at least one-half (2) of the directors then in office [but at least two (2) directors unless Georgia law permits otherwise] will be necessary to constitute a quorum for the transaction of business.

Section 11. Except as otherwise provided in this section or by law, the act of a majority of the directors present, at which a quorum is present at the time, will be the act of the Board of Directors. Adoption, amendment and repeal of a bylaw is provided for in Article Twelve of these bylaws. Vacancies in the Board of Directors may be filled as provided in Section 4 of this Article.

Section 12. Any action required or permitted to be taken at any meeting of the Board of Directors may be taken without a meeting if a written consent thereto is signed by at least one-half (2) of the members of the Board of Directors and such written consent is filed with the minutes as if the proceedings of the Board. Such consent will have the same force and effect as a vote of the Board of Directors

Article 7 Officers and their Elections

Section 1. The officers of the Association shall be a President, a Vice President, a Secretary, a Treasurer and a Membership Chairman. Officers will serve for a term of one year and will remain in office until their successors are elected. Additional officers may be designated as the membership sees fit to elect.

Section 2. Officers will be elected at the annual meeting.

Section 3. The term of office will begin June 1 and end May 31. Officers Elect will have authority to plan, budget, and make appointments to their executive committee, but will work within the budgetary process of the current year until the beginning of their own term.

Section 4. A vacancy occurring in any office or committee of the Association, excepting that of President of the Association or President of a Sport Club, will be filled by the executive committee for the remainder of the term.

Section 5. A nominating committee of three members will be elected by the executive committee at least 30 days but not more than 60 days before the date of the annual meeting. This committee will choose its own chair and will operate independently of the executive committee. The nominating committee will report at the annual meeting the name of at least one nominee for each office to be filled. Nomination may be made from the floor for any of the officer positions. In all instances, consent of each nominee must be obtained before his/her name is placed in nomination.

Article 8 Duties of the Officers

Section 1. The President will preside at all meetings; will be a member ex officio of all committees, except the nominating committee; will be a member of the executive boards of all Sport Clubs and; will perform other duties that usually pertain to the office. He/she will have all of the general powers and duties which are incident to the office of President of a corporation organized under the Georgia Nonprofit Corporation Code.

Section 2. The Vice President will act as an aide to the President and will perform the duties of the President in the absence of that officer. The Vice President will monitor the fund raising and membership efforts of the Association and Sport Club(s) in all required aspects.

Section 3. The Secretary will keep and make available the attendance and minutes of all meetings of the Board of Directors, the Executive Committee and the Sports Clubs; will be the designated officer to mail and receive all notices served by or upon the Board or the Association and execute amendments to these Bylaws and; will perform all other duties incident to the office of Secretary of a corporation organized under the Georgia Nonprofit Corporation Code.

Section 4. The Treasurer of the Association will be responsible for the financial records and books of account, showing all receipts and disbursements of the Association and its Sports Clubs; will be responsible for the preparation of all required financial data and the manner in which such records and books are kept and reported, but must include individual Sport Club reporting; will be responsible for the deposit of all moneys and other valuable effects in the name of the Association; provided, however, that the duties of Treasurer may be performed by the treasurer of the individual Sports Club or their representative and; will serve as chairperson of the Budget Committee.

Section 5. The Membership Chair will chair the Membership Committee; coordinate all activities pertaining to the recruitment of members of the Association and Sport Club(s) and; maintain the Association membership records and submit membership reports to the Board, Executive Committee or the Sports Clubs, as requested.

Article 9 Executive Committee

Section 1. Each member of the executive committee must be a member of the Association.

Section 2. The executive committee will consist of the Officers of the Association, the Chair of the standing committees, the Presidents of the Sports Club(s), the Chair of the Board of Directors or its designee, who must be a member of the Board of Directors and the Principal or the Principal=s designee.

Section 3. Its duties will be to approve plans of work of the committee chairs, to approve plans of work of each Sport Club, to fill vacancies of the Association, to present a report at regular meetings of the Association for information and any necessary action, to transact necessary business between meetings and such other business as may be referred to it by the Association.

Section 4. Regular meetings of the executive committee will be held at least eight (8) times per year, the time to be fixed by the executive committee at its first meeting of the year. Five (5) members of the committee will constitute a quorum. Special meetings may be called with five (5) days notice by the President or by a majority of the committee.

Article 10 Committees

Section 1. Each Board member will oversee the following committees::

President: Field, By- Laws and Events.

Treasurer: Registration and Finance.

Secretary/ Communication: website, Newsletters, Photography

Fundraising: Concessions, Eagle Passes, Red & Silver Ball, Spirtwear

Corporate Sponsorships: No committees 

Section 2. Special committees may be appointed by the President and will perform such duties as may be defined by their creation. They are: Game Day, Field Prep, Senior night, Team Dinners, Banquets, College Games & Tournaments

 

Article 11 Meetings

Section 1. A regular meeting of the Association will be held the second Tuesday of each month.

The organizational meeting will be held in the fall before September 30. It will review prior year financial statements, will present current year budgets and plans for the current year and such other business, as needed.

The annual meeting will be held on or before the third Monday of May. It will elect officers for the following year and set membership dues for the upcoming school year. The Treasurer will present a financial report of the year as it stand as of the meeting date.

The dates for these meetings will be set by the Board of Directors or by the President if the Board does not act. A notice of fifteen (15) days will be given to as many potential student families of Milton High School as can be reasonably be determined. A quorum will be ten (10) members.

Section 2. Special meetings of the Association may be called with a petition to the executive committee signed by ten (10) members of the Association specifying the date and purpose of the meeting. Members of the Association will have at least ten (10) days notice of special meetings. A quorum will be ten (10) members.

Section 3. The privilege of holding office, making motions, debating and voting will be limited to members of the Association.

Article 12 Amendments

Section 1. All proposed amendments to the bylaws will be referred to a bylaws committee.

Section 2. These bylaws may be amended at any meeting of the Association by a two-thirds (2/3) vote of the members present provided that thirty (30) days written notice has been given to members that bylaw changes will be made at the meeting.

Article 13 Parliamentary Authority

Rules of Order, revised, will govern the Association in all cases to which they are applicable and in which they are not inconsistent with these bylaws.

Article 13 Fiscal year

The fiscal year of the Association will be from June 1 to May 31.

Article 15 Dissolution

The Association will use its funds only to accomplish the purposes specified in these bylaws and no member will have rights or interests in or to the property or assets of the Association. In the event of the dissolution of the Association, the Board of Directors will distribute, transfer, convey, deliver and pay over all of the assets of the Association then remaining in the hands of the Association to any other organization qualifying under Section 501 (C)(3) of the Internal Revenue Code as an exempt organization, to be used exclusively for educational purposes. In the event that, for any reason, upon dissolution of the Association the Board of Directors will fail to act in the manner herein provided within a reasonable period of time, the Chief Judge or a Presiding Judge of the Superior Court of Fulton County, Georgia, will make such distribution, exclusively upon the application of one or more persons having a real interest in the Association or its assets.
